Amalia is a Partner based in the firm’s Tanzania office. She is a practicing Advocate with twelve years' experience dealing with complex legal matters relating to M&A, licensing, compliance, oil & gas, mining and the overall commercial practice.

Amalia Lui has over 14 years of legal experience, focusing on M&A, mining, energy and corporate transactions. Amalia has extensive experience advising on projects both within and outside of Tanzania, as well as significant experience with cross-border transactions. As an M&A lawyer, Amalia has led and advised on large acquisitions both within and outside of Tanzania, assisting in obtaining the necessary regulatory approvals, and providing ongoing support post-closing. As an M&A lawyer, Amalia becomes deeply involved in the transactions from the onset, i.e. in negotiations by assisting parties to navigate the key issues, align an understanding, achieve the desired targets, review of the transaction documents, secure regulatory approvals, which includes organising meetings with regulatory authorities with the intention of ensuring there are swift approvals and finally assisting with the closing obligations and CPs satisfaction. On cross border transactions, Amalia has recently advised on multiple cross-border transactions in neighbouring African countries such as Kenya, Uganda, Ghana, Nigeria, Ethiopia and Mauritius. Her ability to analyse and break down M&A transactions, as well as provide support to merging parties, is unparalleled, and she has extensive experience working with local counsel on cross-border transactions. Amalia's experience extends beyond mergers and acquisitions to the mining sector and corporate support. She works very closely with our mining clients and assists in negotiations with the Government Authorities, navigating the framework and shareholders agreements, advising on the regulatory aspects and local content to ensure strict compliance and provides overall support to our client’s teams. She is useful because she can view transactions from a commercial perspective and align that with a legal perspective for the benefit of the client, allowing us to achieve our clients' commercial goals without losing sight of their legal obligations. Overall, Amalia is an important member of our legal team, and our clients value her input. Finally, it is worth noting that Amalia participates in other social support projects that benefit marginalized and impoverished women and children. She runs an NGO that focuses solely on orphans and marginalized children, and she plans to provide similar support to young women in order for them to gain access to training, education, and overall self-sufficiency.

Also, advising the same company in its negotiations with the Ghanaian, Ugandan and Ethiopian Governments on a telecommunication project. 
  • Advising a Kenyan airline in all their operations in Tanzania including compliance and licensing under Tanzanian laws.
  • Advising a telecommunication company on going public in order to comply with the amendments of the law. This involved reviewing of the prospectus, registering the public company and liaising with the Capital Markets Authority.
  • Leading a legal team in relation to a USD 20 million project on financing of an agriculture project in Tanzania.
  • Advising prominent international airline companies in relation to joint venture arrangements and application for exemptions from the Fair Competition Commission.
  • Advising on a USD 4 million transaction involving the purchase of a school in Tanzania by a British company.
  • Advising a UK listed mining company on their USD 35 million bond issuance to the Tanzanian and Kenyan capital markets authorities.
  • Advising an ASX listed company on their USD 70 million mining activities in Tanzania including assisting in an application for a graphite mining licence, bond issuance and other matters relating to capital markets securities.
  • Advising on a USD 40 million IPO for a gold mining company to be listed in a stock exchange.
  • Advising a group of international lenders to a large gold mining company in Tanzania relating to various loans advanced to the company and how the same may be affected due to a dispute between the Government and the gold mining company.
  • Representing clients in competition disputes against the Fair Competition Commission including a dispute between the Fair Competition Commission and a major cigarette manufacturing company in Tanzania.
