Elie has advised on a number of corporate transactions, working with clients operating in the healthcare, hospitality, insurance and reinsurance, professional practice, retail and consumer, and trade and commodities sectors.  

Elie is a member of the Beirut Bar Association. He graduated with a Master of Laws degree (LLM) in banking and finance law from Université Panthéon Assas - Paris II, France in 2013, a Master of Laws degree (LLM) in private and business law from Saint Joseph University of Beirut, Lebanon in 2011, and a Bachelor of Laws degree (LLB) from Saint Joseph University of Beirut, Lebanon in 2010.

Prior to joining Clyde & Co, Elie worked at PwC Legal Middle East, international and regional law firms as well as a global company in Saudi Arabia.

Elie is fluent in Arabic, English and French. 

Expérience
  • Advising a global company on various regional acquisitions and disposals, including cross-border and multi-territory acquisitions of assets and shares.
  • Advising a Kuwaiti group on the economic concentration aspects under the Saudi Competition Law, and with obtaining a certificate confirming that a notification is not required from the General Authority for Competition (GAC) in Saudi Arabia. 
  • Advising two Saudi groups operating in the real estate & retail and pharmaceutical sectors on the restructuring of their group entities in Saudi Arabia. 
  • Advising a world-renowned energy solution provider on their Joint Venture arrangement in Saudi Arabia. 
  • Advising various multinational companies (involved in various sectors, including healthcare, technology, trading and construction) on the structuring of their local presence in Saudi Arabia and assisting with the establishment process. 
  • Advising various multinational companies on the Saudi Regional Headquarters (RHQ) Programme and assisting with the RHQ establishment process.
  • Carrying out a due diligence on a CMA investment fund to highlight risks of non-compliance with the fund’s terms and conditions and CMA regulations. 
  • Advising a global company on corporate governance matters and processes.
  • Advising multinational companies and foreign investors on a broad range of commercial arrangements, including JV agreements, shareholders’ agreements, agency agreements, distribution agreements, franchise agreements, consultancy agreements, services agreements and licensing agreements.
