Based in our Madrid office, Marina advises clients on corporate, construction and international commercial transactions over a wide scope of sectors.  Currently she is advising on different projects in Europe, Middle East, APAC and South America.

Marina has significant experience in the renewable energies sector, where she has acted for both domestic and international clients, advising on transactional and regulatory issues. Marina regularly advises on the legal issues that arise from the use of different renewable energy technologies, including solar, wind (onshore and offshore), BESS (Battery Energy Storage System) and hybrid technologies.

Marina´s experience encompasses advising on development agreements, EPC and O&M agreements and share and asset purchase agreements, including due diligence of projects in relation to M&A transactions. Marina also handles general corporate instructions, international commercial contracting and transactional real estate matters.

Marina is a very determined lawyer, with a strategic mindset and worthy client relationships skills.

Marina holds a Double Degree in Law and Journalism from Universidad Rey Juan Carlos (Madrid). Before joining Clyde & Co, she studied an LL.M in Global Business Law at ESADE Business School. She has also conducted complementary studies in different universities across the world such as the University of Exeter (UK), the Sun Yat-Sen University (Guangzhou, China) and the University of Cagliari (Italy).

Expérience
  • Providing construction and real estate advise to a UAE company for the development of 53 luxury villas in Marbella (Spain), partnering with Lamborghini, for a value of EUR 215 M approx.
  • Advising a Spanish renewable energy contractor in relation to the purchase of 29 different solar and hybrid (solar and wind) projects in Spain, including performance of the pertinent legal due diligence of each SPV (for the purchase of its shareholding) and its agreements and rights.
  • Advising a large international water company to produce several capacity and enforceability legal opinions for different desalination plants projects to be built in Saudi Arabia and the UAE.
  • Advising a Singaporean investment group to acquire the Spanish subsidiary of a global video games producer.
  • Assisting a Spanish renewable energy contractor in the purchase of 3 BESS projects, including due diligence of the projects; SPA review, negotiation and formalization; and negotiation and signature of DSAs with the developer.
  • Advising a Chilean group of companies in relation to several corporate matters related to its Spanish subsidiary.
  • Advising an UAE investment group in the acquisition of Spain´s most famous night club company, assisting on the due diligence, commercial and IP aspects of the transaction.
