Clyde & Co advises Gordon Technologies on its acquisition of Vertex Downhole Trading

Global law firm Clyde & Co has advised Gordon Drilling Technologies LLC (“Gordon”) on its acquisition of 100 per cent of the share capital of Vertex Downhole Trading LLC (“Vertex UAE”). As part of this acquisition, Gordon will also obtain the intellectual property rights for Winc, Winc+, and Mudlink technologies.

The acquisition will accelerate Gordon’s global expansion and offerings in the Measurement While Drilling (“MWD”) market, by expanding Gordon’s premium product offering to Vertex UAE’s existing customers across 30 different countries.

Gordon is majority owned by Enersol, a joint venture between ADNOC Drilling Company PJSC (ADX: ADNOCDRILL) and Alpha Dhabi Holding PJSC (ADX: ALPHADHABI). Headquartered in Scott, Louisiana, Gordon is a leading independent provider of MWD technology to the directional drilling sector of the oil and gas industry.

Clyde & Co acted as legal counsel to Gordon, advising Gordon on all aspects of the acquisition, including legal due diligence, preparation and negotiation of transaction documents and completion.
