With more than 20 years in the insurance industry, both in private practice and as in-house counsel, Petra is an accomplished lawyer and specialist in corporate insurance, including strategic and pan-European restructuring projects, regulatory and distribution matters as well as product development and review. After holding various positions in the insurance industry, including a secondment in London, Petra was most recently General Counsel for Germany, Scandinavia and the Benelux countries for AXA XL in Cologne, underlining her deep national and cross border knowledge of the industry.

Petra holds a “Master of Commercial Law (LL.M.)” and is specially certified in insurance law (Fachanwältin für Versicherungsrecht). She has been recognised in Legal 500’s list of the top “Corporate Counsel 100 Germany”.

Experience
  • Drafting and reviewing of wordings, specific exclusion clauses, for example for sanctions or COVID-19, retrocession agreements, pre-contractual information for insureds, including product information sheets (IPIDs), insurance intermediary status information, underwriting and claims regulation authorities with agents, claims handlers and fronters (Binders and TPRs), TOBAs with brokers and commercial agreements with tip advisers.
  • Providing advice on global programs, including BEAT related structures, group insurance contracts, in particular in the field of sharing and new economies as well as on various cross border topics with a nexus to Brexit, Switzerland and the US.
  • Advising on regulatory matters, including contact to various supervisory authorities like BaFin, IHK, DIKH, Finma, in particular on freedom of establishment and freedom of services, cross border business, permanent establishment and remaining legal supervision.
  • Dealing with corporate law related projects and questions like establishment and closures of companies and branches, mergers and acquisition, structure and governance of local proxies and inter-company service agreements, as well as corporate secretary services, including preparation and minutes of board meetings and of the annual dependency report.
  • Advising on compliance matters like complaints management, sanctions and licensing checks as well as the draft and implementation of various governance policies and structures including product oversight (POG) procedures and applications.
  • Covering various general legal department tasks, like competition law, tenders, aged debt management – including European payment orders, filing to insolvency schemes, clarification of prescription questions, non-disclosure agreements, legal housekeeping, legal control of external communications, presentations and website contents as well as drafting of all kinds of policies and work instructions.
