Experience
Advised on the purchase for a British Port – bidding at approximately USD 2.3 billion. The bidding process eventually collapsed but I was responsible for project management of ancillary teams/managing the Q&A/DD process, amending first drafts of the MWD assisting with NSIA notification analysis.
Advised on the sale of electronic pathology technology company for GBP 17 million.
Representing the investor in a two stage investment (circa USD 12 million) (51% and then, on certain conditions, an additional 29%) in a Dubai based insurance company.
Represented the investor in a two stage investment (circa USD 8 million) (16% and then upon certain conditions being met, 49%) into a health and well-being mobile phone application.
Advised on a GBP 6.5 million purchase of an automated insurance underwriting software company.
Advised on GBP 5 million investment from a large drinks manufacturer into a start-up cocktail company (acting for the start-up).
Advised on GBP 3.5 million sale of a food washing company to its largest client.
Represented a housing developer in a joint venture with three separate Building contractors to build a new village community in south England (initially to build 250 units which will eventually increase to 6,000).
Represented a Hydrogen producer in its joint venture with a public energy company in Scotland. Drafted and negotiated the opening drafts of the joint venture agreement.
General corporate experience in – re-organisation of group structure (hive-ups/downs), re-designation of share capital, issue and transfer of shares, changing company names, share buy backs, reduction of capital, NSIA analysis incorporating companies and establishing overseas branches, establishing LLPs/LPs and companies house filings.
