With over nine years of experience across the Middle East and Africa (MEA), she has worked on a wide range of corporate and foreign direct investment matters, including mergers & acquisitions (M&A), joint ventures (JVs) and restructuring corporate groups.

In addition, Ghalya has advised on commercial matters such as commercial agencies, distribution and franchise, and intellectual property licence agreements. 

Ghalya has advised on a number of matters, working with clients operating in the education, healthcare, hospitality, retail and consumer, and technology sectors. 

Ghalya is admitted as a solicitor in England and Wales and is licensed to practice in the UAE. She graduated with a Legal Practice Course (Postgraduate Diploma) and a Master of Laws degree (LLM) in International Legal Practice from the University of London, UK in 2014; a Master of Laws (LLM) in International & Comparative Commercial Law from the School of Oriental and African Studies - University of London, UK in 2013; and a Bachelor of Laws degree (LLB) from the School of Oriental and African Studies - University of London, UK in 2012.

Ghalya is a native Arabic speaker and is fluent in English.  

Prior to joining Clyde & Co, Ghalya worked with at a leading international law firm in London. 

Experience
  • Advising Big Bus Tours, the world’s largest operator of open-top bus sightseeing, on their acquisition of leading experience operator, Tour Dubai.
  • Advising noon on its AED 1.23 billion (USD 335.2 million) acquisition of Namshi from Emaar Malls.
  • Advising Oliver Wyman, a global management consulting firm and a business of Marsh McLennan, in connection with its acquisition of Booz Allen Hamilton's strategy consulting business serving the Middle East and North Africa region. 
  • Advising Midis Group on the acquisition of Arrow ECS, a software distribution company registered in Dubai Silicon Oasis, from Arrow Electronics, a US-listed American Fortune 500 company.
  • Advising leading French group of nurseries, Babilou Group, in respect of its acquisition of several nurseries in the UAE including Blossom Group and Bright Kids Group in the UAE.
  • Advising Al Najah Education, a leading private equity firm operating in the education sector, on the sale of Horizon International School and Horizon English School to UK-based school operator, Cognita.
  • Advising Global Fashion Group in connection with the restructuring and sale of a majority interest in Namshi Trading, the leading fashion e-commerce retailer in the Middle East, to Emaar Malls for approximately USD 280 million.
  • Advising NMC Health on the acquisition of a significant interest in Fakih IVF in the UAE.  
  • Advising on the structuring and setting up of an e-commerce market's operations across the GCC. 
  • Advising a private state-owned enterprise on its joint venture with a luxury hospitality group in connection with a residential and hotel development.
  • Advising on the reorganisation of a group of companies owned by a UAE conglomerate, with numerous entities in the UAE across different industries, to reduce region specific risk exposure.
  • Advising a German automobile manufacturer in respect of its distribution arrangements and implementation of variable margins across 19 jurisdictions in MEA.
  • Advising a leading GCC automobile distributor in respect of its joint venture with a non-GCC distributor.
  • Advising a leading MEA tobacco distributor on its commercial distribution and joint venture agreements across the GCC.
