Andrew advises local and multinational corporates on mergers and acquisitions (M&A), private equity, foreign direct investments, corporate reorganizations and restructuring, data protection, immigration, insurance, PPP, project finance, real estate, and regulatory compliance matters. Andrew has experience advising on matters in Kenya, Tanzania, Rwanda, and Uganda.

Andrew has advised clients operating in the aviation, energy, financial services, healthcare, infrastructure, and insurance sectors.

Andrew is admitted as an Advocate of the High Court of Kenya.

Experience

Corporate/M&A

• Advising on the acquisition of a majority equity stake of the shareholding of Mayfair Bank Limited and obtaining regulatory approval from the Central Bank of Kenya and Competition Authority of Kenya.
• Advising four private equity funds registered in Mauritius on their acquisition of a majority stake in a tier two bank in Kenya and obtaining regulatory approval from the Central Bank of Kenya and Competition Authority of Kenya.
• Advising a leading commercial airline on all aspects of a transaction which included its purchase of a minority stake of the total issued share capital of a Kenyan-based airline who has operations in East Africa and obtaining approval from the Kenya Civil Aviation Authority.
• Advising a leading regional insurance company on the restructuring of its Kenyan subsidiary in compliance with the Insurance Act.

• Advising numerous international clients on various regulatory considerations including digital lending, data protection, insurance, and healthcare.
