Dalya has advised on corporate transactions, working with clients operating in the healthcare and technology sectors. 

Dalya is a member of the Egyptian Bar Association. She graduated with a Bachelor of laws degree (LLB) from the British University in Egypt, as well as a Bachelor’s degree in Arts Anglo-Egyptian Law from the London South Bank University. She also holds a diploma in Private Law from Ain Shams University.

Dalya is fluent in Arabic and English.

M&A

  • Advising Sixth of October Development and Investment Company (SODIC) – a company listed on the Egyptian Exchange (EGX), and one of Egypt’s leading diversified real estate developers in country and majority owned subsidiary of the consortium of Aldar Properties and ADQ, on its 100 per cent sale of SODIC’s securitization arm – SODIC for Securitization S.A.E.
  • Advising Arabia Investments Holding, a company listed on the Egyptian Exchange, on the 98 per cent sale of Arabian International Contracting through a Debt-to-Equity Swap. 
  • Advising Capital for Securitization and Bedaya Mortgage Finance Co. (Bedaya) on the EGP 843 million securitization issuance for Bedaya, the first tranche of what is expected to be a total of a four-tranche programme with a value of EGP 3 billion. 
  • Advising JAF Investment on its EGP 177 million 30 per cent dual acquisition (under execution) of Rawaj Consumer Finance and UE Finance in Egypt from Arabia Investments Holding (AIH), a company listed on the Egyptian Exchange.
  • Advising Saint-Gobain on its 100 per cent acquisition of United Paints and Chemicals S.A.E. (“Drymix”), a ready-mix mortars manufacturer serving the construction industry in Egypt.
  • Advising Gig-Egypt on the transaction to acquire 100 per cent of AIG Egypt through a mandatory tender offer.
  • Advising a leading company in the food industry on its acquisition of 5 percent stakes in two entities operating within the non-banking financial sector.
  • Assist UAE based company on its acquisition of the 100 percent stakes of another entity operating in UAE.
  • Advising a holding company on its de-merge.
  • Advising a development company on sale of financial leased units.
