Georgia’s practice focuses on advising individuals and corporates on a variety of general commercial matters, including the drafting and negotiation of the key commercial documentation underpinning our clients’ businesses.
Her experience spans a broad range of sectors, including cash and payments; public sector (including education and healthcare); hospitality; oil and gas; and software services and licensing. Georgia has particular interest and expertise in the cash and payments, education, hospitality, and oil and gas sectors.
Experience
Cash/payments industry
advising various independent ATM deployers, international payment organisations, payment institutions and payment service providers on a variety of matters, including the preparation of cash in transit ('CIT'), supply of cash and ATM agreements, and the provision of associated FCA-related advice;
successfully advising on a complex funding model for our independent ATM deployer client, dealing with risk in, and liability for, cash at each stage of the cash cycle, including related trust arrangements; and
advising a variety of clients, from foreign exchange and money remittance companies to payment service providers and independent ATM deployers, on their business arrangements and providing advice and legal opinions concerning regulatory compliance with the FCA, the Payment Service Regulations 2017, PSD2 and related legislation.
Education
drafting a suite of template documents for our higher education purchasing consortia client, including a template framework agreement and call-off contract for use by the relevant participating members in their individual procurements for goods, services and software. Preparing and delivering multiple training sessions for the client in respect of the correct practical and legal approach to finalising those documents in each procurement process; and
advising both contracting authorities and bidders on key commercial documentation in connection with a variety of public procurement exercises.
Hospitality
advising in connection with a number of hotel management arrangements, including the drafting and negotiation of the hotel management agreements and associated documentation, to meet the varying interests of our owner, manager and lender clients.
Oil and gas
advising TotalEnergies on the negotiation of a strategic branded supply agreement with Alimentation Couche-Tard (ACT) in Benelux, Germany and the Netherlands following the sale of TotalEnergies’ service station retail and B2B cards businesses to ACT. The agreement governs the relationship between the parties as regards the purchase and resale of TotalEnergies’ lubricants and liquid fuel products by ACT, and the use by ACT of the TotalEnergies’ brands in relation to the operation of the service station retail businesses which were sold, in the various jurisdictions. This included advising on, and preparing, the local implementation terms for each jurisdiction.
Software services and licensing
advising our higher education client in respect of a strategic software licence and services agreement concerning the configuration of software, and provision of certain services related to such software, in connection with the client’s new admissions software, which included the drafting and extensive negotiation of the agreement.
