Andrew advises insurers, reinsurers, intermediaries and investors on a wide range of corporate/commercial, regulatory and Lloyd’s matters.

His experience includes advising on M&A transactions, joint ventures, investments, insurance portfolio transfers, distribution agreements and broker arrangements generally.  Andrew regularly works with managing agents and other Lloyd’s market participants on their activities at Lloyd’s.  He provides advice on the UK regulatory regime and governance matters.

Andrew has extensive international experience and is qualified to practice in England, Hong Kong and the BVI. Prior to joining the firm, Andrew was a partner at another large international firm. 

Experience
  • Advising numerous UK and international insurers on acquisitions of, investments in and sales of a variety of MGA platforms and Lloyd’s businesses.
  • Advising managing agents and capital providers on the establishment of new syndicates at Lloyd’s, including SIABs and SPAs and Lloyd’s platform acquisitions and disposals.
  • Advising on the UK regulatory and governance framework, including authorisation requirements, conduct regulation and prudential regulation (including Solvency II and IDD requirements).
  • Advising on distribution agreements, policy wordings, TOBAs, introducer agreements and binding authority agreements.
  • Advising on numerous loss portfolio transfer reinsurance agreements and renewal rights transactions.
  • Advising UK and overseas insurers on various intra-group and third party reinsurance arrangements, including quota shares, adverse development covers and excess of loss reinsurance arrangements.
  • Advising captive insurers on their direct insurance, reinsurance and fronting programmes.
