Agnieszka Kulińska has focused on renewable energy sources since 2006. She has a broad portfolio of multinational clients specialising in the development and acquisition of wind farms, photovoltaic projects, and other renewable energy sources in Poland and the CEE region at large. 

Her experience encompasses advising on investment agreements, development agreements, joint ventures, and share and asset purchase agreements for various types of renewable energy enterprises, including due diligence of projects in relation to M&A transactions and financing banks. Agnieszka also has extensive legal advisory experience in regard to construction contracts, particularly EPC contracts for projects involving renewable energy sources in Poland and the CEE region.

With a deep understanding of regulatory matters, including grid connection and energy trading, Agnieszka also provides legal advice on offtake contracts, with a particular focus on corporate PPAs.

Experience
  • Optima Wind – advising on a joint venture with Eiffel Transition Infrastructure, an investment fund managed by Eiffel Investment Group, to establish WindLight—a company aimed at developing photovoltaic and wind farms exceeding 1 GW. Through this new transaction, WindLight will develop a diversified portfolio of 14 projects, comprising PV projects totalling 888 MW and wind assets of 266 MW.
  • Cero Generation Services Limited (Macquire Group) – advising on the acquisition of three project companies developing energy storage projects with an aggregate capacity of 1.5GW.
  • Lightsource bp – advising on the acquisition of a portfolio of PV projects with a total capacity exceeding 750 MW.
  • Engie Zielona Energia – advising on the acquisition of two onshore wind farms in Poland (Kukinia and Tychowo) with a combined capacity of 103 MW.
  • EBRD, PKO Bank Polski and Bank Pekao and DNB Bank Polska – advising on the financing granted to Potęgowo Mashav for the construction and operation of a wind farm in Northern Poland. The total cost of the investment is EUR 290 million.
  • Orange Polska (in partnership with PwC) (vPPA) – advising on a long-term, financially settled cPPA with a global energy and services group supporting the operation of five photovoltaic projects located in Romania. 
  • Orange Polska (vPPA) (in partnership with PwC) – advising on two long-term, financially settled cPPAs with Enertrag supporting the development of a 10 turbine and 36 MW wind farm and covering over 120 GWh per annum of Orange Polska electricity consumption. 
  • Generacion Eolica Castilla La Mancha S.L – drafting and negotiating a Spanish law- governed balance of plant operation and maintenance agreement as well as an operational asset management services agreement for the Gecama wind farm in Cuenca, Castilla La Mancha, Spain with a planned installed capacity of 329.2 MW.
  • Sowi Kosovo LLC – drafting and negotiating a German law- governed balance of plant operation and maintenance agreement, and operational asset management services agreement for three wind farms (Selac 1 with an installed capacity of 35 MW, Selac 2 with an installed capacity of 35 MW and Selac 3 with an installed capacity of 35 MW) in the municipality of South Mitrovica in the Republic of Kosovo.
