Amreen Ayub

Full Profile

Amreen joined Clyde & Co Tanzania in January 2018. She has gained significant experience advising local and international clients in the mining, corporate, and banking and finance sectors. Prior to joining Clyde & Co in 2018, Amreen attended the Law School of Tanzania, and previously studied the Legal Practice Course (LPC) alongside an MSc in Law, Business and Management in the United Kingdom. Amreen is an Advocate of the High Court of Tanzania and a member of the Tanganyika Law Society. She is also a registered arbitrator with the Tanzania Institute of Arbitrators (TIArb).

• Advising Mahenge Resources Limited on its USD 179 million loan from CRDB Bank PLC, DBSA and IDC to develop the Mahenge Graphite Project.
• Advising mining companies and service providers to the mining industry on compliance with the Mining Local Content Regulations. 
• Advising Panda Hill on its Framework Agreement with the Government of Tanzania.
• Advising Kabanga Nickel on their Framework Agreement with the Government of Tanzania and other ancillary issues.
• Advising an ASX listed company on its investment in Tanzania and acquisition of prospecting licences.
• Advising Mahenge Resources Limited on their Framework Agreement and Shareholders’ Agreement with the Government of Tanzania.  
• Advising Stanbic Bank on loans to various Tanzanian entities operating in the mining and manufacturing sectors.
• Advising Black Rock Mining Limited on a USD 10M Pre-Payment Facility Agreement and Offtake Agreement for the development of the Mahenge Graphite Project.
• Advising a European gas company on its investment and acquisition of two Tanzanian companies dealing with LPG.
• Advising CRDB Bank PLC on a loan from an international fund and issuing an English law legal opinion.
• Advising the Zambia National Commercial Bank on a foreign financing and issuing an English law legal opinion on enforceability. 
• Advising Exim Bank on its acquisition of assets and liabilities of UBL Bank.
• Advising Spanish hospitality chain RIU Hotels & Resorts on its USD 56.5 million acquisition of the entire issued share capital in Renco (Zanzibar) Limited, owner of the Diamonds La Gemma Dell'Est and Star of the East luxury resort in Zanzibar.
• Advising Lifezone Metals Limited in connection with a subscription agreement in respect of the commitment to purchase and the issuance of an aggregate of USD 50,000,000 convertible debentures due 2028.
• Advising United States International Development Finance Corporation on a USD 10M facility to First Housing Finance.
• Advising Kilombero Sugar Company Limited on a USD 100M facility from a syndicate of Tanzanian banks for the construction and development of a new sugar processing factory.
• Advising one of the biggest cement companies in Tanzania on a USD 5 million loan from AfriSam (Mauritius) Investment Holdings.
• Advising a Chinese mining company on obtaining a mining dealer licence.
