Clyde & Co in collaboration with Chapter Zero: The Directors’ Climate Forum are pleased to announce the Climate Change and the Duty of Care - shifting risk and responsibilities for Directors and Officers webinar.

In this hour-long webinar, we will be discussing what directors and officers need to know in regards to emerging duties of care in the climate context, touching on how COVID-19 may serve to accelerate these shifts.

Taking into account the pre-existing worldwide trend towards more litigation and regulatory risk for individual Directors and Officers, this webinar will highlight what Directors and Officers need to consider, in the face of increasing scrutiny in relation to assessment and disclosure of climate change risks and their management of short and long-term impacts of those risks on their company's strategy and performance. The conversations in Boardrooms are changing and business leaders are adapting, quickly.

  • Overview of directors duties in the UK and touching on the position in other jurisdictions and how climate change claims might be articulated.
  • Examine examples of litigation brought against firms and their D&Os (and pension trustees too) from other jurisdictions. Including:
    • Disclosure Based claims
    • Regulatory Actions / Consultations / Guidance
    • Pressure group / Activist investor actions
  • The interface between directors and auditor and the audit committee, reviewing the ARGA and FRC consultations and proposals.
